HappinessCue® Expert Agreement

This Expert Agreement (“Agreement”) governs the onboarding, listing, engagement, conduct, and participation of individuals (“Experts”) offering services through the HappinessCue® platform (“Platform”).

By:

  • Registering as an Expert
  • Submitting onboarding information
  • Listing services
  • Accepting bookings
  • Conducting sessions
  • Using Expert-related features or tools

You acknowledge that:

  • You have read and understood this Agreement
  • You agree to be legally bound by it
  • You agree to comply with all applicable platform policies, guidelines, and standards

If you do not agree with this Agreement, you must not register or provide services through the Platform.


1. Nature of the Platform

HappinessCue® is a technology-enabled facilitation platform that enables independent Experts to connect with users seeking:

  • Coaching
  • Wellness guidance
  • Mentoring
  • Advisory-oriented interactions
  • Personal development support
  • Awareness and growth-based services

The Platform’s role is limited to:

  • Discovery and visibility
  • Booking facilitation
  • Payment enablement
  • Communication infrastructure
  • Platform operations and administration

HappinessCue® acts solely as an intermediary technology platform.


2. Independent Contractor Relationship

Experts acknowledge and agree that:

  • They operate independently
  • They are not employees of HappinessCue®
  • No employment, partnership, agency, fiduciary, or joint venture relationship is created
  • Experts retain full responsibility for their conduct, services, representations, and interactions

Experts are solely responsible for:

  • Their advice and guidance
  • Compliance with applicable laws
  • Professional conduct
  • Accuracy of representations
  • Taxation and statutory obligations

HappinessCue® does not supervise or control Expert opinions, methods, or session content.


3. Eligibility & Onboarding

To register as an Expert, you must:

  • Be legally capable of entering into binding agreements
  • Be at least 21 years of age
  • Possess relevant qualifications, experience, expertise, or background related to your listed services
  • Provide accurate, truthful, and verifiable information

HappinessCue® may request:

  • Government identification
  • Educational credentials
  • Certifications
  • Professional details
  • PAN/GST information
  • Banking information
  • Additional verification documentation

The Platform reserves the right, at its sole discretion, to:

  • Approve or reject applications
  • Request additional verification
  • Suspend or remove Expert profiles
  • Modify onboarding standards

Onboarding approval does not constitute:

  • Licensing
  • Medical certification
  • Regulatory endorsement
  • Employment
  • Guaranteed visibility or earnings

4. Scope & Nature of Services

Experts may provide services relating to:

  • Wellness guidance
  • Coaching
  • Mentoring
  • Advisory-based interactions
  • Personal development
  • Educational or awareness-oriented support

Unless legally authorised and independently verified where applicable, Experts must not:

  • Offer medical diagnosis
  • Provide psychiatric treatment
  • Conduct clinical therapy
  • Prescribe medication
  • Claim emergency intervention capability
  • Misrepresent professional credentials

Experts remain solely responsible for ensuring that:

  • Their services remain within lawful and ethical boundaries
  • Representations made by them are accurate
  • Their conduct complies with applicable standards

5. No Emergency or Crisis Services

Experts acknowledge that HappinessCue® is not an emergency-response platform.

Experts must not:

  • Present themselves as emergency responders
  • Encourage reliance on the Platform during crises
  • Represent Platform services as substitutes for licensed medical or psychiatric intervention

Where users appear to face:

  • Severe emotional distress
  • Risk of self-harm
  • Immediate danger
  • Psychiatric emergencies

Experts are expected to encourage users to seek appropriate licensed emergency or medical assistance.

Experts remain independently responsible for their own professional judgment.


6. Professional Conduct & Ethical Expectations

Experts are expected to maintain:

  • Professionalism
  • Respectful communication
  • Ethical conduct
  • Appropriate boundaries
  • Sensitivity and empathy
  • Responsible engagement

Experts must not:

  • Harass or exploit users
  • Engage in abusive or discriminatory conduct
  • Manipulate emotionally vulnerable individuals
  • Misrepresent qualifications or achievements
  • Engage in inappropriate personal, romantic, or financial relationships with Clients
  • Pressure users into continued engagements
  • Use deceptive or misleading marketing practices

Violation may result in:

  • Suspension
  • Reduced visibility
  • Permanent removal
  • Withholding of payouts where legally permissible
  • Legal action where applicable

7. Platform Integrity & Non-Solicitation

To protect platform integrity and operational fairness, Experts agree not to:

  • Circumvent platform systems
  • Redirect Clients for off-platform payments
  • Offer unauthorised private arrangements
  • Share personal contact details for payment bypass purposes
  • Solicit users outside the Platform where prohibited

Experts acknowledge that Clients introduced through the Platform are part of the Platform ecosystem.

Violation may result in:

  • Immediate suspension
  • Permanent delisting
  • Financial recovery claims where applicable
  • Restriction from associated platforms

8. Session Delivery Standards

Experts agree to:

  • Conduct sessions professionally
  • Maintain punctuality
  • Deliver sessions for agreed durations
  • Ensure reasonable preparedness
  • Maintain appropriate communication standards

Experts are responsible for:

  • Stable internet connectivity
  • Device readiness
  • Professional environments during sessions

Repeated:

  • Delays
  • Cancellations
  • No-shows
  • Complaints
  • Policy violations

may impact:

  • Profile visibility
  • Platform access
  • Booking eligibility
  • Continued participation on the Platform

9. Cancellations & No-Shows

Experts should provide reasonable notice before cancellations wherever possible.

Where an Expert:

  • Fails to attend sessions
  • Repeatedly cancels bookings
  • Demonstrates unreliable participation

HappinessCue® may:

  • Issue refunds to Clients
  • Apply internal penalties
  • Restrict profile visibility
  • Suspend or terminate access

The Platform reserves discretion in determining appropriate remedial actions.


10. Payments, Fees & Payouts

Experts may be permitted to set pricing subject to platform structures or operational guidelines.

The Platform may deduct:

  • Facilitation fees
  • Platform commissions
  • Payment gateway charges
  • Applicable taxes
  • Compliance-related deductions where required

Payouts may be processed only after:

  • Successful session completion
  • Verification of compliance requirements
  • Completion of applicable review or fraud checks

Experts remain solely responsible for:

  • Tax compliance
  • GST obligations
  • Income reporting
  • Banking accuracy
  • Statutory filings

HappinessCue® shall not be liable for:

  • Banking delays
  • Incorrect payout details submitted by Experts
  • Regulatory obligations of Experts

11. Confidentiality & User Privacy

Experts acknowledge that they may receive access to sensitive or personal user information.

Experts agree to:

  • Maintain confidentiality
  • Protect user privacy
  • Avoid unauthorised disclosures
  • Use information solely for legitimate session purposes

Experts must not:

  • Share user information externally without lawful basis
  • Record sessions without consent
  • Distribute private communications
  • Misuse sensitive information

Experts acknowledge that confidentiality may be limited where:

  • Disclosure is required by law
  • Necessary to prevent harm
  • Required for fraud investigation
  • Mandated by lawful governmental or judicial orders

Violation of confidentiality obligations may result in:

  • Immediate suspension
  • Permanent removal
  • Legal consequences where applicable

12. Session Recording Restrictions

Unless expressly authorised:

Experts must not:

  • Record sessions
  • Capture or distribute screenshots
  • Store session content externally without lawful basis
  • Share Client information publicly

Users should be informed transparently wherever recording is legally or operationally necessary.


13. Intellectual Property & Platform Rights

Experts retain ownership of original materials independently created by them.

However, by uploading or publishing content on the Platform, Experts grant HappinessCue® a non-exclusive, royalty-free, worldwide licence to:

  • Display
  • Promote
  • Distribute
  • Use
  • Reproduce

such content for legitimate platform-related purposes.

Experts must not:

  • Use Platform branding without permission
  • Misrepresent Platform-owned content as their own
  • Reproduce proprietary platform systems or materials

All Platform intellectual property remains owned by CareerBricks Learning Solutions unless otherwise stated.


14. Reviews, Ratings & Visibility

Clients may submit ratings, feedback, or complaints.

HappinessCue® reserves the right to:

  • Moderate reviews
  • Investigate complaints
  • Restrict visibility
  • Remove profiles
  • Adjust platform discoverability

based on:

  • User feedback
  • Policy compliance
  • Operational considerations
  • Platform integrity requirements

The Platform is not obligated to maintain specific visibility, ranking, or booking volumes for any Expert.


15. Platform Availability & Technical Limitations

The Platform is provided on an “as-is” and “as-available” basis.

HappinessCue® does not guarantee:

  • Continuous availability
  • Error-free operation
  • Uninterrupted functionality
  • Booking consistency
  • Earnings continuity

The Platform shall not be liable for interruptions arising from:

  • Internet outages
  • Technical malfunctions
  • Third-party failures
  • Cyber incidents
  • Infrastructure disruptions
  • Force majeure events

Experts remain responsible for maintaining adequate technical readiness.


16. Compliance with Laws

Experts remain solely responsible for compliance with:

  • Applicable laws
  • Regulatory obligations
  • Professional standards
  • Taxation requirements
  • Consumer protection laws
  • Advertising or representation standards

HappinessCue® does not provide legal, taxation, or professional compliance advice.


17. Indemnity

Experts agree to indemnify and hold harmless HappinessCue®, CareerBricks Learning Solutions, and associated representatives from claims, liabilities, losses, damages, costs, or expenses arising from:

  • Expert conduct
  • Misrepresentation
  • Advice or services provided
  • Breach of this Agreement
  • Violation of laws
  • User disputes
  • Intellectual property violations
  • Taxation or compliance failures

18. Limitation of Liability

To the fullest extent permitted by law:

HappinessCue®, CareerBricks Learning Solutions, and associated parties shall not be liable for:

  • Expert earnings outcomes
  • User decisions or actions
  • Platform visibility changes
  • Session dissatisfaction
  • Booking fluctuations
  • Reputational consequences
  • Emotional or financial losses
  • Indirect or consequential damages

Experts participate on the Platform entirely at their own discretion and risk.

In no event shall the aggregate liability of HappinessCue® exceed the amount paid to the Expert by the Platform during the preceding three months.


19. Suspension & Termination

HappinessCue® reserves the right, at its sole discretion, to:

  • Suspend Expert accounts
  • Restrict platform access
  • Remove listings
  • Withhold payouts where legally permissible
  • Permanently terminate participation

where reasonably necessary for:

  • Policy enforcement
  • Fraud prevention
  • Safety concerns
  • Legal compliance
  • Operational integrity
  • Risk management

Termination shall not waive accrued rights, liabilities, or obligations.


20. Force Majeure

HappinessCue® shall not be liable for delays, interruptions, or failures arising from events beyond reasonable control, including:

  • Natural disasters
  • Public emergencies
  • Cyber incidents
  • Government actions
  • Internet failures
  • Infrastructure disruptions
  • Technical failures
  • Labour disturbances

21. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.


22. Entire Agreement

This Agreement, together with related platform policies, constitutes the complete understanding between the Expert and HappinessCue® regarding participation on the Platform.


23. Amendments & Updates

HappinessCue® may revise this Agreement periodically to reflect:

  • Legal developments
  • Operational requirements
  • Product changes
  • Platform improvements
  • Risk management considerations

Updated versions shall be published on the Platform.

Continued participation after updates constitutes acceptance of revised terms.


24. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India.

All disputes shall fall under the exclusive jurisdiction of courts located in Gurugram, Haryana.
